Terms governing your use of IventPay and ticket purchases.

IventPay Terms and Conditions of Use and Ticket Purchase

IventPay is an electronic ticketing and payment platform that enables customers to discover, purchase and manage tickets for events and enables event organizers, promoters, venues, teams and other authorized partners to sell and manage tickets.

These Terms and Conditions ("Terms") govern your access to and use of the IventPay website, mobile applications, ticketing platforms, payment facilities and related services (collectively, the "Platform").

By accessing the Platform, creating an account, purchasing a ticket or otherwise using IventPay services, you confirm that you have read, understood and agreed to these Terms.

IventPay reserves the right to amend these terms from time to time. Updated terms will be published on the Platform and will become effective upon publication unless otherwise stated.

1. Definitions

For purposes of these Terms:

"IventPay" means the IventPay electronic ticketing and payment platform operated by National Integrated Technologies Limited (NITEL).

"Customer", "you" or "your" means any person who accesses the Platform or purchases or attempts to purchase a ticket through IventPay.

"Event" means any concert, sporting event, conference, festival, exhibition, entertainment activity or other event advertised or sold through IventPay.

"Event Organizer" means the promoter, organizer, venue, sports club, association, team, producer or other entity responsible for organizing an event.

"Event Partner" means an Event Organizer, venue or other authorized third party whose tickets are made available through IventPay.

"Ticket" means an electronic or physical ticket issued through IventPay which provides the holder with access to an Event, subject to the applicable terms.

"Platform" means the IventPay website, mobile application, ticketing interfaces, payment interfaces, APIs and related systems.

"Payment Service Provider" means a bank, mobile money operator, card scheme, payment gateway or other regulated or authorized payment provider used to process payments through IventPay.

2. Permitted Use

You may use IventPay only for lawful purposes and in accordance with these Terms.

You may:

  • browse Events and related information;
  • purchase Tickets for your personal use or for authorized persons;
  • access and retain electronic copies of Tickets purchased through IventPay; and
  • use other features made available by IventPay.

You may not:

  • reproduce, copy, modify, reverse engineer or commercially exploit the Platform without written authorization;
  • interfere with the operation or security of the Platform;
  • use automated systems, bots or other mechanisms to purchase Tickets unless expressly authorized;
  • attempt to circumvent Ticket limits, security measures or access controls;
  • create fraudulent or misleading accounts;
  • use stolen, fraudulent or unauthorized payment credentials;
  • resell tickets unlawfully or at prices prohibited by applicable law or Event Partner rules; or
  • use IventPay for any unlawful or fraudulent activity.

IventPay reserves the right to suspend or terminate access to any account where it reasonably believes these terms have been breached.

3. IventPay's Role

IventPay provides technology and transaction services to facilitate the sale and distribution of Tickets on behalf of Event Partners.

Unless expressly stated otherwise, IventPay is not the organizer, promoter, producer, performer or venue for an Event.

The Event Organizer is responsible for:

  • organizing and conducting the Event;
  • determining ticket prices and categories;
  • determining event dates, times and venues;
  • providing accurate event information;
  • admission and access control;
  • Event safety and security;
  • determining whether an Event is postponed, rescheduled or cancelled; and
  • determining the applicable refund policy, subject to applicable law and these Terms.

IventPay will use reasonable efforts to communicate relevant information received from the Event Organizer to affected Customers.

4. Ticket Purchases

When purchasing a Ticket through IventPay, you agree to provide accurate and complete information.

A ticket purchase is only considered successful once:

  1. payment has been successfully authorized or received;
  2. the transaction has been confirmed by IventPay or its authorized Payment Service Provider; and
  3. a valid ticket or transaction confirmation has been issued.

A payment attempt that has been initiated but not successfully completed does not constitute a confirmed ticket purchase.

IventPay reserves the right to cancel or reverse an order where:

  • a payment is unsuccessful or reversed;
  • a ticket was issued due to a technical or pricing error;
  • fraudulent activity is suspected;
  • the purchase exceeds applicable ticket limits;
  • the Event Organizer has instructed IventPay to cancel the transaction; or
  • required by law or a competent authority.

5. Ticket Information and Pricing

Customers are responsible for checking Ticket details before completing a purchase, including:

  • Event name;
  • Event date;
  • Event time;
  • venue;
  • Ticket category;
  • quantity;
  • Ticket price;
  • applicable booking or service fees; and
  • any other applicable charges.

IventPay will endeavor to ensure that information displayed on the Platform is accurate. However, errors may occasionally occur.

Where an error affects the price or material terms of a ticket, IventPay may contact the Customer and provide the option to:

  • confirm the purchase at the correct price; or
  • cancel the affected purchase and receive a refund of the amount paid for the affected Ticket, subject to the applicable payment and refund process.

6. Electronic Tickets

Tickets may be issued electronically through:

  • email;
  • SMS;
  • mobile application;
  • downloadable electronic document;
  • QR code;
  • barcode; or
  • other electronic or physical formats supported by IventPay.

Customers are responsible for keeping their Tickets secure.

A Ticket may only be used once unless the Event Organizer expressly permits otherwise.

Where a QR code, barcode or other unique Ticket identifier has already been scanned or validated, IventPay and/or the Event Organizer may refuse admission using the same Ticket.

Customers must not share their ticket with unauthorized persons.

Where a Ticket has been lost, stolen, copied or disclosed to another person, IventPay may not be able to replace or refund the Ticket.

7. Ticket Resale and Transfer

Tickets may not be resold, duplicated or transferred for fraudulent or unlawful purposes.

Where an Event Organizer permits Ticket transfers or resale, such transactions must be conducted through an authorized IventPay facility or other method expressly approved by the Event Organizer.

IventPay and/or the Event Organizer may cancel Tickets that have been:

  • fraudulently obtained;
  • duplicated;
  • unlawfully resold;
  • altered or tampered with; or
  • obtained through unauthorized means.

No refund or compensation will ordinarily be payable for tickets cancelled due to fraudulent or unlawful activity.

8. Event Cancellation or Rescheduling

The Event Organizer is responsible for determining whether an event will be cancelled, postponed or rescheduled.

Where IventPay receives official notification from the Event Organizer, IventPay will use reasonable efforts to communicate the relevant information to affected Customers.

Customers are responsible for checking event information and should ensure that their contact details are accurate and accessible.

IventPay does not guarantee that notification of a cancellation, postponement or change will be received before the original event date.

Where an event is rescheduled, Tickets may remain valid for the new date unless the Event Organizer specifies otherwise.

9. Refunds

Refunds are generally subject to the refund policy established by the Event Organizer.

Unless otherwise stated, IventPay does not independently determine whether a Customer is entitled to a refund for an event.

Where an event is cancelled, postponed or materially changed, IventPay will facilitate the refund process where authorized and funded by the Event Organizer and/or where required by applicable law.

Refunds may be subject to:

  • the Event Organizer’s refund policy;
  • payment provider processing requirements;
  • applicable transaction or service fees;
  • applicable legal requirements; and
  • the availability of funds from the Event Organizer.

Unless otherwise required by law or expressly stated by the Event Organizer, booking, convenience or service fees may be non-refundable.

Refunds will ordinarily be made through the original payment method where technically and operationally possible.

IventPay will not be responsible for delays caused by banks, mobile money operators, card networks or other Payment Service Providers.

10. Failed, Reversed or Duplicate Payments

If a Customer's account is debited but IventPay does not receive confirmation of the payment, the Customer should contact IventPay using the designated customer support channels and provide the relevant transaction details.

Customers should not repeatedly attempt a transaction where their account has already been debited until the original transaction has been verified.

Where a payment is duplicated, IventPay will investigate the transaction and, where a duplicate payment is confirmed, process the appropriate reversal or refund subject to the relevant Payment Service Provider's procedures.

11. Event Admission

A valid ticket does not guarantee admission where the ticket holder:

  • breaches event rules;
  • fails to meet applicable age requirements;
  • presents an invalid, duplicated or previously used ticket;
  • presents a ticket obtained fraudulently or unlawfully;
  • refuses reasonable security checks;
  • behaves in a threatening, disruptive or unlawful manner; or
  • fails to comply with the venue's rules and regulations.

The Event Organizer and/or venue may conduct reasonable security checks in accordance with applicable law and Event security procedures.

Late admission may be restricted or refused depending on the nature of the Event.

12. Changes to Events

The Event Organizer reserves the right, where reasonably necessary, to:

  • change the Event programme;
  • change performers or speakers;
  • change the Event venue;
  • change the Event date or time;
  • impose reasonable entry requirements; or
  • make other operational changes.

IventPay will communicate material changes where information is provided by the Event Organizer and where reasonable means of communication are available.

13. Personal Property and Personal Safety

Customers attend Events at their own responsibility and must comply with applicable safety instructions.

Neither IventPay nor the Event Organizer accepts responsibility for loss, theft or damage to personal property brought to an Event, except to the extent that liability cannot lawfully be excluded.

Customers are responsible for complying with venue and Event safety requirements.

14. Payment Processing

IventPay may support payments through one or more Payment Service Providers, including banks, mobile money services, cards and other approved electronic payment methods.

Payment processing may be subject to the terms and conditions of the relevant Payment Service Provider.

IventPay does not control the networks, systems or infrastructure operated by third-party Payment Service Providers and therefore cannot guarantee uninterrupted payment availability.

Where a payment fails due to circumstances outside IventPay's reasonable control, IventPay will use reasonable efforts to assist in resolving the transaction.

15. Advance Funds and Event Settlement

Where an Event Organizer has entered into a separate commercial agreement with IventPay allowing access to advance funds or Ticket proceeds before an Event, such funds will be governed by the applicable agreement.

IventPay may deduct from Ticket proceeds:

  • agreed commissions;
  • transaction fees;
  • payment processing charges;
  • approved expenses;
  • refunds;
  • chargebacks;
  • reversals;
  • taxes or statutory charges where applicable; and
  • any other amounts expressly authorised under the Event Organizer agreement.

The Customer's Ticket purchase does not create a direct contractual obligation between the Customer and IventPay concerning Event performance beyond IventPay's role as the ticketing and transaction service provider.

16. Fraud, Chargebacks and Suspicious Transactions

IventPay may monitor transactions for fraud, abuse and other suspicious activity.

Where a transaction is suspected to be fraudulent or unauthorised, IventPay may:

  • place the transaction on hold;
  • cancel the transaction;
  • suspend or restrict an account;
  • invalidate affected Tickets;
  • cooperate with financial institutions, Payment Service Providers and law enforcement agencies; and
  • take any other lawful action necessary to protect Customers, Event Partners and IventPay.

Customers must immediately notify their financial institution and IventPay if they believe their payment credentials or account have been compromised.

17. Platform Availability and Disclaimers

IventPay will use reasonable efforts to maintain the availability and functionality of the Platform.

However, IventPay does not guarantee that the Platform will:

  • always be available;
  • operate without interruption;
  • be free from technical errors;
  • be completely secure against all threats; or
  • be compatible with every device or network.

The Platform may occasionally be unavailable due to:

  • maintenance;
  • upgrades;
  • telecommunications failures;
  • internet outages;
  • power interruptions;
  • payment system failures;
  • cyber incidents;
  • third-party service failures; or
  • circumstances beyond IventPay's reasonable control.

IventPay will not be responsible for losses arising solely from circumstances beyond its reasonable control, subject to applicable law.

18. Third-Party Services

IventPay may integrate with third-party services including banks, mobile money operators, payment gateways, communication providers, venues and other technology providers.

IventPay is not responsible for the acts, omissions, products or services of third parties except where liability is imposed on IventPay by applicable law.

Third-party services may be subject to separate terms and privacy policies.

19. Intellectual Property

All intellectual property rights relating to the IventPay Platform, including software, trademarks, logos, designs, interfaces, databases and content developed or owned by IventPay, remain the property of IventPay or its licensors.

Customers may not reproduce, modify, distribute, sell, license, reverse engineer or commercially exploit IventPay intellectual property without prior written permission.

Event-related names, logos, photographs, videos, trademarks and other content supplied by Event Partners remain the property of the respective owners.

20. Privacy and Personal Data

IventPay is committed to protecting personal information collected through the Platform.

IventPay may collect information necessary to:

  • create and manage customer accounts;
  • process Ticket purchases;
  • process payments;
  • issue and validate Tickets;
  • provide customer support;
  • communicate Event information;
  • prevent fraud and abuse;
  • comply with legal and regulatory obligations; and
  • improve the Platform and services.

Personal information may include, where necessary:

  • name;
  • telephone number;
  • email address;
  • transaction information;
  • Ticket information;
  • device and technical information;
  • IP address;
  • payment-related information; and
  • other information required to provide the service.

IventPay will process personal information in accordance with applicable laws of Malawi and its Privacy Policy.

IventPay may disclose relevant information to:

  • Event Organizers;
  • venues;
  • Payment Service Providers;
  • technology and service providers;
  • regulators;
  • law enforcement authorities; and
  • other parties where disclosure is required or permitted by law.

IventPay will not sell personal information to third parties for unrelated purposes.

Where marketing communications require consent, customers may opt out in accordance with the applicable communication and privacy requirements.

21. Cookies and Technical Information

IventPay may use cookies, device identifiers, log files and similar technologies to:

  • maintain secure sessions;
  • remember user preferences;
  • analyse Platform usage;
  • improve performance;
  • detect fraudulent activity; and
  • provide relevant functionality.

The information collected may include browser type, operating system, device information, IP address and interaction with the Platform.

22. Children

IventPay does not knowingly collect personal information from children where such collection is prohibited by applicable law.

Certain Events may have age restrictions imposed by the Event Organizer or venue.

Where an Event has an age restriction, the Ticket holder may be required to provide appropriate proof of age or identification at admission.

23. Customer Responsibilities

You agree to:

  • provide accurate information;
  • maintain the security of your account;
  • protect your Tickets;
  • use the Platform lawfully;
  • comply with Event and venue rules;
  • comply with applicable payment requirements; and
  • immediately notify IventPay of suspected unauthorised transactions or account activity.

You remain responsible for activity conducted through your account unless you have notified IventPay of unauthorised access and IventPay has had a reasonable opportunity to take appropriate action.

24. Limitation of Liability

To the maximum extent permitted by applicable law, IventPay shall not be liable for indirect, incidental, special, punitive or consequential loss arising from:

  • cancellation or postponement of an Event;
  • performance or non-performance by an Event Organizer;
  • changes to an Event;
  • refusal of admission;
  • loss or theft of Tickets;
  • acts or omissions of performers, venues or Event Organizers;
  • failure of third-party payment or telecommunications systems; or
  • circumstances beyond IventPay's reasonable control.

Where IventPay is legally liable for a claim directly arising from its provision of the Platform, IventPay's liability shall, to the maximum extent permitted by law, be limited to the amount paid by the Customer for the relevant IventPay service or Ticket transaction giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under the laws of Malawi.

25. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless IventPay, its directors, officers, employees, agents and service providers against claims, losses, liabilities, costs and expenses arising from:

  • your breach of these Terms;
  • your unlawful use of the Platform;
  • fraudulent or unauthorised use of your account;
  • your violation of Event or venue rules; or
  • your infringement of another person's rights.

26. Suspension and Termination

IventPay may suspend, restrict or terminate access to the Platform where:

  • these Terms are breached;
  • fraudulent activity is suspected;
  • an account is being misused;
  • required by law or a regulatory authority;
  • the Platform is being used for unlawful purposes; or
  • continued access creates a security or operational risk.

Where appropriate, IventPay will provide reasonable notice before termination.

27. Force Majeure

IventPay shall not be liable for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including:

  • natural disasters;
  • fire;
  • flood;
  • epidemic or pandemic;
  • war;
  • civil unrest;
  • government action;
  • telecommunications failure;
  • internet or power failure;
  • cyberattacks;
  • payment system failures;
  • strikes; or
  • other events beyond IventPay's reasonable control.

28. Complaints and Customer Support

Customers should direct complaints or queries to the official IventPay customer support channels.

When contacting IventPay regarding a transaction, Customers should provide, where available:

  • transaction reference;
  • Ticket number;
  • telephone number;
  • email address;
  • Event name;
  • payment method; and
  • date and amount of the transaction.

IventPay will use reasonable efforts to investigate and resolve complaints within a reasonable period.

29. Changes to These Terms

IventPay may amend these Terms where necessary to reflect:

  • changes to the Platform;
  • changes in applicable law;
  • changes to payment services;
  • new services or functionality;
  • security requirements; or
  • changes to IventPay's business operations.

The updated Terms will be published on the Platform.

Continued use of IventPay after the updated Terms become effective constitutes acceptance of the revised Terms.

30. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Malawi.

Any dispute arising out of or in connection with these Terms or your use of IventPay shall, subject to any applicable mandatory dispute resolution requirements, be subject to the jurisdiction of the competent courts of Malawi.

Nothing in these Terms prevents a Customer from exercising any mandatory consumer or statutory rights available under applicable Malawi law.

31. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision shall be modified or removed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

32. Entire Agreement

These Terms, together with the applicable IventPay Privacy Policy, Ticket-specific terms, Event Partner terms and any other terms expressly incorporated into the Platform, constitute the agreement governing your use of IventPay.

Where there is a conflict between these Terms and specific Event terms, the specific Event terms will apply to the relevant Event to the extent of the conflict.
